Terms & Conditions

1. Parties

These Terms & Conditions govern the agreement between LuisScales ("we," "us," "Agency"), operated by Luis Rojas, and the client ("you," "Client") who engages our services. By signing a service agreement or making payment, you agree to these terms.

2. Services

LuisScales provides Meta advertising management services including but not limited to: pixel and event setup, campaign strategy and build, daily campaign management, creative strategy, and performance reporting. The specific scope is agreed in writing before work begins.

3. Payment terms

Setup fee — Due in full before work begins. Non-refundable once work has commenced.

Monthly retainer — Due on the 1st of each month. A 5-day grace period applies before services are paused.

Revenue share — Calculated and invoiced monthly based on tracked ad revenue from Meta Ads Manager. The agreed percentage is documented in the client agreement.

All payments are in USD. Late payments beyond the grace period may result in campaign pausing until the outstanding balance is settled.

4. The 60-day guarantee

If LuisScales fails to hit the mutually agreed performance target within the first 60 days of live campaigns, the following month's retainer fee will be waived. This guarantee applies only when:

• The client has provided timely access to all required accounts and assets
• Ad spend budget has been maintained as agreed
• No material changes were made to the Shopify store or product offering that could materially affect results
• The agreed target was documented in writing before campaigns launched

The guarantee covers one month's retainer only and does not cover the setup fee, revenue share, or any ad spend.

5. Client responsibilities

To deliver results, we require the client to:

• Provide admin access to Meta Business Manager, Shopify, and any other required platforms within 3 business days of agreement
• Maintain sufficient ad spend budget as agreed
• Respond to requests for creative assets, approvals, or information within 48 hours
• Notify us of any changes to the store, product pricing, or promotions that may affect ad performance

6. Intellectual property

All ad creatives, copy, and campaign structures produced by LuisScales during the engagement become the client's property upon full payment. LuisScales retains the right to reference the engagement as a case study (with identifiable details withheld unless written consent is given).

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. LuisScales will not share client revenue figures, ad account data, or business details with third parties without written consent.

8. Termination

By the client — You may cancel with 14 days' written notice. The setup fee is non-refundable. Any retainer already paid for the current month is non-refundable.

By LuisScales — We may terminate with 14 days' written notice if the client fails to meet payment obligations, withholds required access, or acts in a way that makes the engagement untenable.

9. Limitation of liability

LuisScales provides advertising management services and does not guarantee specific revenue outcomes beyond the 60-day guarantee outlined above. We are not liable for changes in Meta platform policies, algorithm changes, ad account restrictions imposed by Meta, or market conditions outside our control. Our total liability in any dispute is limited to fees paid in the preceding 30 days.

10. Governing law

These terms are governed by the laws of the State of Arizona, United States. Any disputes shall be resolved through good-faith negotiation before any formal proceedings.

11. Changes

We may update these terms from time to time. Active clients will be notified of material changes by email. Continued engagement after notice constitutes acceptance.
